[LICENSE AGREEMENT OF CONVAT]

[GRANT OF LICENCE]

 System Engineering Service, Inc.("SES") grants you a non-exclusive
license to use or copy CONVAT if you fit within the description below.

 1.You may use or copy CONVAT for any purposes, including personal
use or commercial use.
 2.You may create any number of copies of CONVAT if you fit within
the description below.
   (1)You may redistribute a copy of CONVAT only if the copy contains
   all of files in the original CONVAT.
   (2)However, if you wish to redistribute for the purpose of commerce,
    you must ask the permission of SES to redistribute.
   (3)Provided any copy of CONVAT must contain this Agreement file. 
   (4)You must not sell only a copy of CONVAT or the other product
    containing whole of or a part of CONVAT. 
   (5)When you redistribute CONVAT to the third parties, the third
    parties must observe this Agreement. 

 3.You must not reverse engineer, decompile or disassemble to CONVAT.

 4.If you announce CONVAT or any result generated by CONVAT in any
form on publishing or presentation, you must indicate the name "CONVAT"
and "SES" explicitly.

 5.The license will terminate automatically if you fail to comply with
the limitations described herein. On termination, you must destroy all
copies of the CONVAT and Documentation.


[COPYRIGHT]

 Title and all ownership rights in the CONVAT shall remain in SES.
The CONVAT is protected by JAPAN copyright law and International
Treaty provisions.


[LIMITATION OF LIABILITY]

 The entire risk as to the quality and performance of the CONVAT is
borne by you. IF CONVAT prove defective, SES never assumes the entire
cost or work of any service and repair.
 Furthermore, under no circumstances and under no legal theory or
otherwise, shall SES be liable to you or any other person for any direct
or indirect damages of any character.
 In no event will SES be liable for any damages in excess of the amount
SES received from you for a license to CONVAT, even if SES shall have
been informed of the possibility of such damages, or for any claim by
any other party.
